Investor Portal Non-Disclosure Agreement (“NDA”)

This NDA forms a part of and is incorporated into our Investor Agreement with you and unless defined below, terms used in this NDA have the meaning in the Investor Agreement, Terms of Use and Privacy Policy (including the Juniper Square Privacy Policy in the Investor Portal) all of which are part of our Agreement with you. In order to ensure the protection of our confidential information we require you to read, understand and agree to the terms and conditions below as a condition of being granted access to our Investor Portal.

In this NDA and in our Investor Agreement, we use the term “confidential information” to mean and refer to any and all information of the Company Parties and Disclosing Parties (as each is defined in the Investor Agreement) that is not publicly known or available, is proprietary, sensitive, trade secret or otherwise considered confidential any of the Company Parties or Disclosing Parties. Confidential information may include, but is not necessarily limited to any information: (i) labeled as “confidential,” “proprietary,” “secret” or words of similar import; (ii) disclosed or made available on or through our Investor Portal or exchanged during communications with you, whether written, electronic, digital or oral; and/or (iii) that you know, have reason to appreciate or is obtained by you under circumstances that you reasonably should know is confidential information. If you aren’t sure, it is your obligation to ask us before you use, make available or disclose the information to any other party.

You hereby agree to regard and hold in strictest confidence all confidential information and unless you obtain the express prior written consent of one of our authorized officers, you will not use confidential information except to evaluate a potential transaction with us, nor will you disclose or make available any confidential information to any person, firm or enterprise, except on a need-to-know basis, as permitted by, in accordance with and subject to the terms of the Investor Agreement.

We will not consider you in breach of this NDA or the Investor Agreement, if you are compelled to do so in response to a properly issued and served subpoena, order of a judicial, regulatory or other governmental agency having jurisdiction over the subject matter and parties involved; subject to the conditions that, unless you are prohibited from doing so by law, you provide us with prompt notice and copies of all papers served on you and you cooperate with us, at our request, in seeking such protective orders or other legally available protections available to you or us in order to limit disclosure to only those persons and to only such confidential information as reasonably necessary to comply with the legal compulsion.

If you have entered into or in future enter into any other confidentiality or non-disclosure agreement with us, any Company Party or Disclosing Party, you acknowledge and agree the foregoing confidentiality obligations and restrictions on your use of confidential information are in addition to provisions contained in any such agreement, and this NDA is not intended to and does not modify, supersede or limit any other obligations that apply to you.

If you breach or threaten to breach this NDA, you acknowledge we are entitled to pursue any and all remedies, including those set forth in the Confidentiality section of the Investor Agreement.  If you discover, are notified or have reason to suspect there has been an unauthorized disclosure, loss, theft, damage or destruction of any confidential information, you must immediately notify us, take actions that are necessary to stop and/or mitigate further unauthorized disclosure, loss, theft, damage or destruction and cooperate with our reasonable requests, including, without limitation, providing information and cooperating with law enforcement agencies, to investigate, remediate, prevent recurrence and, if applicable, assist us in pursuing any and all available civil and criminal penalties and remedies.

Net MOIC is measured as net asset value, divided by total capital contributions, calculated after payment of applicable management fees, carried interest, general fund expenses, and other expenses borne by investors.
